Terms of Service – Datacenter Broker
1. Definitions
1.1 Service Provider: Datacenter Broker, a trade name of Aldewereld Consultancy, located in Amsterdam, The Netherlands.
1.2 Client: Any natural or legal person making use of Datacenter Broker’s services.
1.3 Services: Independent brokerage services to match Clients with suitable datacenter colocation providers.
1.4 Datacenter: A third-party organization offering colocation services under its own responsibility and contract.
2. Scope of Applicability
2.1 These Terms of Service apply to all offers, communications, agreements, and services provided by Datacenter Broker.
2.2 Deviations are only valid if confirmed in writing by Datacenter Broker.
3. Nature of Services
3.1 Datacenter Broker operates as an independent intermediary between Clients and certified datacenter providers.
3.2 While we use expert matching methods, we do not guarantee the availability, uptime, or service quality of individual datacenters.
3.3 The final colocation agreement is exclusively between the Client and the selected datacenter.
3.4 In some cases, Datacenter Broker may provide additional services such as remote hands support or onsite troubleshooting. These are subject to separate terms and risk allocation (see Section 10).
4. Fees & Payment Terms
4.1 Our brokerage commission, consultancy fees, or subscription-based access fees are agreed upon transparently and in advance.
4.2 Unless otherwise stated, all rates are exclusive of VAT.
4.3 Payment terms are 30 days from the invoice date.
4.4 In case of late payment, Datacenter Broker reserves the right to charge statutory interest and recover administrative costs.
5. Limitation of Liability
5.1 Datacenter Broker is not liable for damages arising from the services or shortcomings of third-party datacenter providers.
5.2 Our liability is at all times limited to the total brokerage or advisory fee charged for the specific engagement.
5.3 We accept no liability for consequential loss, business interruption, or data loss.
6. Confidentiality
6.1 Both parties shall treat all exchanged confidential information with the highest level of care and discretion.
6.2 This obligation shall continue after termination of the agreement.
7. Data Protection
7.1 All data is processed in accordance with the General Data Protection Regulation (GDPR).

8. Intellectual Property
8.1 All tools, reports, documentation, and advice shared by Datacenter Broker remain our intellectual property unless otherwise agreed.
8.2 Clients may not reuse or distribute our materials without prior written consent.
9. Governing Law & Dispute Resolution
9.1 These terms are governed by Dutch law.
9.2 Disputes shall be submitted to the competent court in Amsterdam, unless mandatory legal provisions dictate otherwise.
10. Remote Hands Services
10.1 Datacenter Broker offers on-site technical support (“Remote Hands” and “Smart Hands”) across multiple Amsterdam-based datacenters. These services are executed by trained engineers on behalf of the Client.
10.2 Activities may include, but are not limited to:
Equipment installation and deinstallation
Cable patching and labeling
Power cycling and hardware resets
Component swaps (HDDs, NICs, memory, etc.)
Network diagnostics and port testing
Escorting third-party vendors
Providing visual documentation (photos/video)
10.3 All tasks are executed based on written instructions received from the Client. The Client remains fully responsible for:
Accuracy and completeness of the instructions
Ensuring datacenter access permissions are in place
Remote availability for guidance during execution
10.4 Billing:
Standard rate: €75/hour (Mon–Fri, 09:00–18:00 CET)
Evening rate: €112.50/hour (Mon–Fri, 18:00–00:00 CET)
Night/weekend/holiday rate: €150/hour (00:00–09:00 CET & weekends/public holidays)
Minimum charge: 1 hour
Invoicing: post-delivery, payable within 7 calendar days
Disputes will be reviewed and resolved within 24 hours
10.5 Unless explicitly agreed otherwise, services are provided on a best-effort basis. Datacenter Broker is not liable for hardware damage, data loss, downtime, or misconfiguration unless resulting from proven gross negligence.
10.6 The Client agrees to indemnify Datacenter Broker against any third-party claims arising from remote hands activities, unless caused by willful misconduct.
10.7 Work may be refused or rescheduled in the event of:
Lack of proper access to the datacenter
Missing or unclear instructions
Unsafe conditions
